We are now recruiting a Corporate Legal Counsel to Getinge´s head office in Gothenburg. You will be joining a team of legal professionals that supports Getinge fulfilling its goals and its legal obligations as a stock listed company by providing proactive, in-depth and business-focused legal advice to key stakeholders.

The team

  • manages and supports the group on matters involving significant legal risks for the group,
  • proactively initiates and implements processes and standards to reinforce good corporate governance
  • provides proactive and strategic expert legal advice in a broad range of strategic and complex cross functional or multijurisdictional projects,
  • provides legal expertise on equity capital markets, treasury and finance related matters, disclosure and inside information matters, corporate governance and legal entity governance,
  • provides end to end legal support on M&A and divestiture projects,
  • supports with ESG regulation monitoring & reporting,
  • performs corporate secretarial duties, and
  • sets global standards, processes, provides training, implementation support and implementation follow up within key areas of support.

 

What you will do

In your role your primary responsibility will be to:

  • Getinge as stock listed company:
    • support Head of Corporate Legal in advising and supporting the organization on stock market and equity capital market regulations, including insider regulations
    • manage insider related processes, policies, trainings and advice on public disclosure matters
    • manage and coordinate core corporate legal processes such planning and execution of Getinge AB Shareholders meeting, drafting Corporate Governance Report and assisting with Annual Report;
  • Corporate Governance and Legal Entity management:
    • co-architect and manage legal aspects of internal restructuring activities, such as internal asset transfers, mergers and liquidations;
    • co-architect governance structures and advice the global organization on corporate law/corporate governance-related matters including (but not limited to) Legal Entity Management and Shareholder Administration;
    • review/draft corporate documents for formalizing various decisions and authorizations;
    • provide training on governance matters to the global organization
  • Treasury:
    • support the Treasury function with legal aspects of external debt financing, external and internal funding arrangements and internal capital structure
  • Sustainability:
    • monitor and report on the legislative and regulatory development within Sustainability, support stakeholders with legal interpretations and implementation guidance
  • Support to corporate functions:
    • provide day-to-day support to Getinge AB, its governing bodies, management and Corporate functions such as Corporate Finance, Tax, Communications/Investor Relations, HR and Risk & Insurance
  • Strategic projects and continuous improvements
    • advice and support on corporate legal aspects of strategic global projects (often cross functional);
    • co-architect and manage structure for Sustainability, Legal & Compliance risk assessment and management;
    • develop processes and procedures to improve legal support in areas within scope;
    • monitor changes in legislation and self-regulation and support in ensuring proper implementation in Getinge through policies, directives and guidance

You will be instrumental in driving and managing the core processes and workflows of the corporate legal team.

The above also includes negotiating with external parties and supervising external legal advisors.

The position is eligible for a hybrid set up.

 

You will bring

To be successful in this position, we believe that you have the following qualifications.

  • Swedish LL.M (Jur. kand./Juristexamen) and 4 years of law firm experience from a Swedish law firm and/or working for a Swedish stock listed company with focus on governance/corporate law and capital markets regulations
  • Excellent communication (both written and oral) and collaboration skills
  • Fluent level of English language. Knowledge of other foreign languages is beneficial
  • Excellent analytical skills and business-oriented mindset with ability to translate legal considerations to hands-on practical advice
  • Ability to demonstrate sound judgment under time pressure stressful and/or ambiguous situations
  • Ability to in a structured and thorough manner lead and manage multiple projects simultaneously and to follow through and meet deadlines
  • Digital mindset to further develop and improve productivity in the field of corporate legal work
  • Experience working in the MedTech or LifeScience industry, with legal dimensions of Treasury and/or Sustainability related matters and regulations and a good understanding of decentralized business model is beneficial
  • Experience from working in a cross-border and multi-jurisdictional environment is beneficial
